AGREEING TO THESE TERMS AND CONDITIONS, YOU REPRESENT TO US THAT YOU ARE =

LEAST 18 YEARS OLD AND ARE AUTHORIZED TO ENTER INTO THIS AGREEMENT. YOU A=

ALSO REPRESENTING THAT YOU ARE ENTERING INTO THIS AGREEMENT ON YOUR OWN
BEHALF, HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF ENTERING INTO TH=

AGREEMENT, ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT
OTHER THAN AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND THAT YOUR E-STORE
WILL NOT BE USED IN CONNECTION WITH ANY ILLEGAL PURPOSE. YOU ACKNOWLEDGE =
THAT
NOTHING IN THIS AGREEMENT SHOULD BE CONSTRUED AS GUARANTEEING THE PURCHAS=
E OF
ANY PRODUCT, OR THE GENERATION OF ANY COMMISSIONS OR REFERRAL CREDITS FROM
YOUR OPERATION OF YOUR E-STORE. AT ANY TIME UPON REQUEST BY US, YOU AGREE=
TO
SIGN A NON-ELECTRONIC VERSION OF THIS AGREEMENT, AND ANY OTHER AGREEMENTS=
OR
STATEMENTS REASONABLY NECESSARY FOR US TO PROVIDE AND ACCOUNT FOR THIS
SERVICE, INCLUDING (BUT NOT LIMITED TO) PROOF OF OWNERSHIP AND INCOME TAX
RELATED DOCUMENTS. |
| 1.
Definitions |
|
| 1.1
"CustomFlix Publishing Program" is the program governed by this
Agreement. You must be an authorized Member of this program to make Titles
available for sale through the CustomFlix Service provided by us and to
obtain credit for referring other Members to our service. |
|
| 1.2
"CustomFlix Service" means a service provided by CustomFlix whi=
ch
enables Members to sell or license video Content on DVDs over the Interne=
t or
via phone. This service includes user E-Stores, video encoding and author=
ing
services, "on-demand" video duplication and fulfillment includi=
ng
shipping of Units to Customers, and other related services necessary to
facilitate the sale and distribution of video Content. |
|
| 1.3
"E-Store" means the user customizable e-commerce enabled web pa=
ge
that acts as a "customizable web storefront" for a given Title.
Each E-Store has a unique ID which allows you to link to it from your own
website, emails, and elsewhere. |
|
| 1.4
"Title" means a single work of authorship involving Content, wh=
ich
Title is created by a Member through use of the CustomFlix Service, and w=
hich
is reproduced on one or more pieces of media as a Unit. |
|
| 1.5
"Affiliate Program" is the system by which we pay you for refer=
ring
other Members to us. Please see the "Affiliate Program" section
below for additional details. |
|
| 1.6
"Member ID" is a unique numerical code that all Members of the
CustomFlix Publishing Program are assigned after they complete their
membership application. It is used to track account information and refer=
ral
credits. |
|
| 1.7
"Customer" means an individual or entity that purchases one or =
more
Titles embodied on some form of media from a Member via the CustomFlix
Service. |
|
| 1.8
"Unit" means a DVD (or a set of DVDs) with stored Content, whic=
h is
the tangible embodiment of a Title. |
|
| 1.9
"Member" means a person or entity who becomes a participant in =
the
CustomFlix Publishing Program and agrees to the terms and conditions
governing such Program, provides CustomFlix with all information requeste=
d in
CustomFlix's online membership form, is accepted by CustomFlix as a
participant in its Publishing Program and authorized to use the CustomFlix
Service, and who at all times complies with all terms and conditions of a=
ny
applicable CustomFlix Publishing Program agreement. |

| 1.10
"Content" means video Content (typically in the form of digital=
or
analog video) and all related sounds, text, graphics, and other relevant
information. |
|
| 1.11
"Online Promotion Program" means the optional listing for sale =
of
Titles by CustomFlix on onlines stores including, but not limited to, Ama=
zon,
Yahoo Shopping, and Froogle. 1.12 "Video Shop" means the portio=
n of
the CustomFlix website which lists participating Titles and advertises th=
em
for sale. |

| 2.1
Use of the CustomFlix Service by you constitutes your agreement with the
terms and conditions of this Agreement. You agree to abide by all of the
terms and conditions contained in this Agreement in order to become and
remain an authorized Member of the CustomFlix Publishing Program. |
|
| 2.2
Your relationship to us is one of an independent contractor and/or custom=
er.
No employer-employee, agency, joint venture, franchise, sales representat=
ive
or partnership relationship is created by this Agreement or your use of t=
he
CustomFlix Service. |
|
| 2.3
You may not modify, create derivative works from, reverse engineer, decom=
pile
or disassemble the CustomFlix Service, any CustomFlix software or website=
, or
any portion thereof. |
|
| 2.4
You are solely responsible for the customization of your E-Store and for =
all
materials that appear on your E-Store including, but not limited to: |
|
| (a) |
creating and posting p=
roduct
descriptions and graphics; |
|
| (b) |
the accuracy and appro=
priateness
of materials posted on your E-Store; |
|
| (c) |
ensuring that material=
s posted
on your E-Store do not violate or infringe upon the rights of any third
party; |
|
| (d) |
ensuring that material=
s posted
on your E-Store are not libelous or otherwise illegal; and |
|
| (e) |
having and maintaining
appropriate privacy policies, intellectual property notices and disclaime=
rs
that comply with the Federal Trade Commission's promulgated rules, the
Children's Online Privacy Protection Act and all other applicable laws, a=
cts,
regulations and rules. |
|
| 2.5
We reserve the right, at our sole discretion, to change, suspend or
discontinue any aspect of the CustomFlix Service as well as change, modif=
y,
add or remove portions of this Agreement at any time. Changes to this
Agreement will be posted on the CustomFlix website. IF ANY FUTURE CHANGES=
TO
THIS AGREEMENT OR OUR SERVICES ARE UNACCEPTABLE TO YOU, OR CAUSE YOU TO NO
LONGER BE IN COMPLIANCE WITH THIS AGREEMENT, YOUR ONLY RECOURSE IS TO
TERMINATE THIS AGREEMENT. YOUR USE OF OUR SERVICE NOW, OR FOLLOWING THE
POSTING OF ANY CHANGES TO THIS AGREEMENT, WILL CONSTITUTE A BINDING
ACCEPTANCE BY YOU OF SUCH CHANGES AND OR ADDITIONS. |
|
| 2.6
To become a Member, you must provide us with your name, a valid email add=
ress
and a password to access your account. To receive any payments from us, y=
ou
must supply us with your complete and accurate contact information includ=
ing
a physical mailing address and a US government assigned tax ID number. (If
you are an individual or are running a sole proprietorship, this is your
social security number, if you are a different type of business entity, s=
uch
as a corporation, you should have been assigned an EIN number.) You must =
keep
your contact and tax information current at all times in our records; you=
may
update this at any time through our website. Falsification of any contact
information or tax ID number is grounds for immediate termination of this
agreement and will void our obligation to pay you any amounts owed by us =
to
you including but not limited to amounts owed for the sale of Titles thro=
ugh
the CustomFlix Service and all referral credits will be void. |
|
| 3.
Intellectual Property |
|
| 3.1
You warrant that you have the legal right to use all video Content, sound=
s,
text, graphics, images, designs and "look and feel" of any web
pages or Content supplied by you to us. You also warrant that you have the
right to grant us the right to use these materials in order to publish yo=
ur
Title through our service. |
|
| 3.2
In the event that we receive a copyright and/or trademark infringement no=
tice
regarding the video Content, sounds, text, graphics, images, designs or
"look and feel" found in your E-Store or in a Title published by
you, we reserve the right at our sole discretion to suspend or cancel your
Title(s), account and/or E-Store, and share your contact information with=
the
parties involved in the copyright dispute. |
|
| 3.3
You and we mutually acknowledge that each party owns the intellectual
property rights in its own content, products, services and images, includ=
ing
without limitation rights protected by patent, copyright, trademark, trade
secret and right of publicity laws. We own any and all rights, including
copyrights, in and to the CustomFlix Service and business, including the
concepts, ideas, know-how, processes and procedures, architecture and des=
ign
templates underlying the CustomFlix Service in whole or in part. We do not
own any video Content, text, graphics, images, designs and "look and
feel" provided by you. Nothing in this Agreement creates any right,
title or interest for the benefit of either you or us in the intellectual
property rights of the other. |
|
| 3.4 During the term of this Agreement, you grant us a non-exclusi=
ve,
commission-free right and license to use your Content, text, graphics,
images, designs, "look and feel" and all associated trademarks,
copyrights and other rights necessary in order for us to publish your Tit=
le
through the CustomFlix Service. Also during the term of this Agreement, we
grant you a non-exclusive, commission-free right to use our tradename,
trademarks and related logos and graphics on your site in order for you to
promote your Title and link to your E-Store. Our tradename, trademarks and
related logos and graphics may only be used to clearly indicate that we a=
re
providing a publishing service to you and your Customers. You may not use=
our
tradename, trademarks and related logos and graphics to suggest that we
endorse your Title or that our relationship to you is anything other than
that of an independent contractor and/or customer. If you are unsure of t=
he
proper use of our tradename, trademarks and related logos and graphics,
please send a detailed email to info@CustomFlix.com. We reserve right to
revoke the license granted to you in this paragraph, in the event that you
don't comply with the terms of this Agreement or with our trademark usage
guidelines. |
|
| 3.5
During the term of this Agreement, and for a period of 180 days following
termination, you grant us permission to reproduce the video Content, soun=
ds,
text, graphics, images, designs and "look and feel" from your
E-Store in our marketing and advertising materials, provided that we cred=
it
you and/or the original artist as actual owner of these materials. |
|
| 3.6
If you use CustomFlix's Pro DVD Transfer or Basic DVD Transfer to change =
your
Content from a tape into a DVD, you own all rights to the produced DVD an=
d we
do not restrict your right to have copies made of the resulting DVD
elsewhere. |
|
| 3.7
If you choose to use the CustomFlix optional Online Promotion Program whi=
ch
advertises your titles via third party sites, including but not limited to
Amazon, Froogle, and Yahoo Shopping, you warrant that you have the legal
right to use all video Content, text, graphics, images, designs and
"look and feel" of any web pages or Content supplied by you to =
us
on these sites, and that we have the right to list your titles on these
sites. You further agree to follow all published guidelines of the sites
supported by the Online Promotion Program. (These guidelines are similar =
to
the CustomFlix guidelines set forth in this Member Agreement - to learn m=

| 3.8
Notice of Copyright Agent. In order to comply with the Digital Millennium
Copyright Act, we are providing the following notice of our Copyright
Agent: |

If you believe that your copyright or other intellectual property=
is
being infringed upon by a Member using the CustomFlix Service, please
immediately contact CustomFlix Labs, Inc. by sending an email to
IPR@CustomFlix.com or via postal mail/express courier to CustomFlix Labs,
Inc., Attention IPR, 140 DuBois Street, Suite A, Santa Cruz, CA 95060. We
have retained the right to terminate any Member E-Store and account if we
believe that it is infringing upon another party's intellectual property
rights. |

| 4.
Content |
|
| 4.1 You may use the CustomFlix Service to publ=
ish
legitimate content to which you own all necessary rights, and which doesn=
't
violate any law, regulation or other parties' rights. Our service may be =
used
to publish content that would typically be rated as "G",
"PG", "PG-13", or "R" using the MPAA rating
system. For an overview of what the MPAA means by these ratings, please v=
isit
their website at www.MPAA.org. We do not publish more explicit content, s=
uch
as that which would typically be advertised as "X-rated". The
following is a list of some content that may not be published using our
service, though we expressly reserve the right to reject or publish any
content for any reason: |

Explicit sexual conten=
t, such as
material that would typically be rated "X" or meet the legal
definition of obscenity. |
|
| b. |
Content that condones,=
promotes,
contains or links to "warez", "cracks",
"hacks", their associated utilities or other piracy related
information, whether for educational purposes or not. |
|
| c. |
Content that has been =
promoted
through the abusive sending of unsolicited email (spamming) or mail fraud
schemes, or materials which promote or condone the sending of unsolicited
email. Users who utilize our resources, including email addresses for spa=
m are
also subject to prosecution to the fullest extent of the law. |
|
| d. |
Content that infringes=
upon any
parties' copyright, trademark, patent, trade secret, right of publicity or
other intellectual property rights. |
|
| e. |
Content that is defama=
tory,
racist, hateful or otherwise offensive as determined by us in our sole
discretion including content which aggravates, harasses, threatens, defam=
es
or abuses others. |
|
| f. |
Content that exploits =
images of
children under 18 years of age. |
|
| f. |
Content that contains =
images of
inhumane treatment of animals. |
|
| g. |
Content with extreme v=
iolence. |
|
| h. |
Content that would be =
illegal
for sale in one or more of the United States. |
|
| 4.2
If we reject a Title, you may not resubmit that Title for publishing with=
out
first getting our written consent. You may not attempt to publish a rejec=
ted
Title through a different Member account or under a different Title name.
Doing so is grounds for us to terminate your Membership, and/or account.<=
/td>

| 4.3
To help protect minors from material that may not be appropriate for them,
Titles containing content that would be the equivalent of an "R"
rating must clearly indicate that "Parental Discretion is Advised&qu=
ot;
in their text description. Additionally, any E-Store which contains text,
images, or trailers that are inappropriate for minors must have the
"No" button selected for the "Is this e-store appropriate =
for
minors?" option in the E-Store setup section of our website. We
expressly reserve the right to require that you include text in your
description warning minors of the content, and/or mark an E-Store as
inappropriate in the E-Store setup section of our website. We have the ri=
ght
to include such text and/or mark E-Stores as inappropriate if you do not =
do
so yourself immediately upon our request. Intentionally marking an e-stor=
e as
appropriate for children after we have marked it as inappropriate, or
deleting any warning text we may have added to the description of your ti=
tle
without our express consent, is grounds for your title being removed from=
the
Online Promotion Program and/or Video Shop. |
|
| 4.4
Violation of any of the restrictions in this Agreement regarding content =
may
result in the immediate termination of this Agreement and your Member acc=
ount
as well as the deletion of all your Member information. We may also void
sales credits generated from the sale of prohibited content as well as vo=
id
any referral commissions generated from prohibited content. |
|
| 4.5
At any time, without notice and in our sole discretion, we may remove
materials from our Video Publishing Service that we deem inappropriate or=
in
violation of any of our rules or restriction. |
|
| 4.6
We are not responsible for the materials on your E-Store nor the Content =
you
publish via our Video Publishing Service. We do not review all pages befo=
re
they are posted, nor do we review all the content of DVDs or VHS tapes be=
fore
they are published. We do not verify, endorse or otherwise take
responsibility for the Content of any of your materials. However, we rese=
rve
the right to review and duplicate any of your materials for quality contr=
ol
or other reasonable purposes and to investigate specific complaints regar=
ding
your materials. You are solely responsible for all materials and content
related to your E-Store and videos, and can be held legally liable for th=
em. |
|
| 4.7
You must accurately represent the content of your Title on your E-Store a=
nd
in all your promotion and materials related to your Title. You may not
misrepresent Content as something that it is not. For example, you could =
not
advertise that your Title contains an actor who is not present in that Ti=
tle,
or that the Title is in color when it is actually black and white, etc. Y=
ou
expressly may not advertise your Title as containing any Content expressly
prohibited by this Agreement. Per the pricing and fees published on our
website, you may be charged an additional return fee if a Customer return=
s a
Title due to inaccuracies in your representation of the Title on your E-S=
tore
or elsewhere. If we believe that a Title's description or materials conta=
in
unintentional or minor inaccuracies, we may place it on hold and notify y=
ou
via email so that you may correct the problem. However, if we reasonably
believe that you have intentionally misrepresented a Title to mislead
Customers, we may terminate this Agreement and all your sales credits and
referral credits will become null and void. We may further charge you for=
any
Customer returns we accept due to your misrepresentation. |
|
| 5.
Online Promotion Program and Video Shop |
|
| 5.1
Our Online Promotion Program is intended to help make Titles more widely
available by listing them for sale with online sales sites. The Video Sho=
p is
a portion of the CustomFlix site containing a catalog of Titles that are
available for sale. |
|
| 5.2
Participation in both the Online Promotion Program and Video Shop is
optional, and you may remove your title at any time. However, there may b=
e a
delay between when you turn off the Online Promotion Program on the
CustomFlix site and when the various online sites update their stores to
remove the title. We will honor and fulfill any sales made to customers
between the time you requested your Title be removed from the Online
Promotion Program, and the time at which the online sites actually have r=
emoved
the title from their system. |
|
| 5.3
In addition to the normal fees and charges of our Service, sales made thr=
ough
the Online Promotion Program and Video Shop have additional fees to cover=
the
fees of these online sites and our expense of maintaining the Program as
follows: |
|

Sales made through Yahoo! Shopping, and Froogle will have an additional f=
ee
of 5% of the sale price. |
|
| -
Sales made through Amazon Marketplace will have an an additional fee of 2=
0%
of the sale price. |
|

Sales made directly through the Video Shop will have an additional fee of=
5%
of the sale price. |
|
| -
Sales made through the Video Shop which originated through the Video Shop
Affiliates program have an additional fee of 10% of the sale price. |
|
| 5.4
You are responsible for ensuring that your Title complies with all the
requirements of the current stores in which Titles are listed as part of =
the
Online Promotion Program. These requirements are similar to the requireme=
nts
to publish a Title with CustomFlix. The current list of included online
sites, and links to them, is as follows: Amazon, Froogle) |
|
| 5.5
The Video Shop contains categories in which Titles may be listed. You are
required to choose a category appropriate for your Title, and may not
intentionally list your Title in an unrelated category in order to gain
improved visibility. We reserve the right to move Titles to categories we
deem more appropriate. You may not move Titles to a different category on=
ce
we've moved it without our consent. |
|
| 5.6
All Titles that comply with the terms and conditions of this Agreement are
eligible for inclusion in both the Online Promotion Program and Video Sho=
p.
However, we expressly reserve the right to remove any title from the Onli=
ne
Promotion Program and/or the Video Shop for any reason in our sole
discretion. |
|
| 6.
Affiliates Program |
|
| 6.1
Our Affiliate Program is intended to help promote our service and attract
legitimate new members and sales of titles from the Video Shop. To this e=
nd,
once you are a Member of the CustomFlix Publishing Program and you have
agreed to all the terms of this Agreement, you may refer legitimate third
parties to become Members of our service and/or purchase titles from the
Video Shop (hereinafter "Referrals"). If the people you actively
refer to us become members of our program (subject to the terms and
conditions of this Agreement) and correctly enter your Member ID in their
membership form, or immediately purchase one or more titles from the Video
Shop, you will receive credits for the activities of your Referral as
outlined below. |
|
| 6.2
Exact credits, rewards, and terms of our Affiliate Program may change from
time to time. The current Affiliate Program is a follows: When you refer a
person who becomes a Member, and they purchase the following products from
CustomFlix at normal price, for their first purchase you will receive the
following credit: |

| Additionally,
to help promote titles carried in the Video Shop, you will get a credit of
10% of the selling price of any title that you directly refer people to b=

from the Video Shop. To directly refer people to a Video Shop title, you =
must
embed a special URL containing your Member ID on your site or include it =
in
an email. Customers following this link and purchasing one or more titles
from the Video Shop during the same session that they followed the link w=
ill
generate referral credits for you. You will not get credit for orders they
made before following your link, nor orders they make during a different
browser session after following your link - this credit is expressly to h=
elp
generate direct, immediate sales from the Video Shop, and is not a persis=
tent
reward for all future orders made by a referred customer. |
|
| 6.3
To get your credit, the person you refer must correctly enter your Member=
ID
in their membership form, or follow your referral link and order from the
Video Shop during the same session that they followed your link. We provi=
de
you with links and instructions on our site to help automate this process.
However, if your Member ID is not correctly entered by a referred Member,=
or
if a customer quits their browser without ordering from the Video Shop but
subsequently orders from the Video Shop, you will not get any credit for
referring them, and we have no obligation to credit you for the referral.=
|
|
| 6.4
Members may not change the Member ID listed in the referral field after t=
hey
set up their Member account; once a referral relationship is created, it =
may
not be changed by members. However, we reserve the right to change referr=
al
relationships in our sole discretion. |
|
| 6.5
Your referral commissions will be paid at the same time and in the same
manner as you are paid for the sale of your Titles. As with the sales of =
your
Titles, you will be paid within seven days of the end of the month for the
Referrals made during the previous month. |
|
| 6.6
You will not receive credit for DVDs that are returned nor for Titles that
violate any of our rules or guidelines or are placed on hold for any reas=
on.
We have no obligation to give you credit for the activities of Referrals
prior to the time that you join the CustomFlix Publishing Program and are
assigned a Member ID. Upon termination of this Agreement, you will no lon=
ger
receive credits for Affiliate activities. |
|
| 6.7
The intent of this program is to generate legitimate new Memberships of
active Members. Given this, you may not refer yourself directly or
indirectly. If you have multiple stores or accounts, you may not refer one
store or account to another. Likewise, you may not refer a new Member, th=
en
create a new account which they refer, since this indirectly refers back =
to
you. Members found to be directly or indirectly referring themselves, or =
in
any other way abusing the Affiliate system, may be immediately terminated
without notice, and all Affiliate credits will be void. We reserve the ri=
ght
to identify other abuses of the Affiliate program not specified in this
section, and correct such abuse as we see fit in our sole discretion. |
|
| 6.8
You may not use unsolicited email, Usenet or message board postings or ot=
her
types of spam (collectively "Spam") to obtain Referrals. As used
here, Usenet and message board postings refer to messages sent or posted
which are unrelated to the topic of discussion of the particular news gro=
up
or message board. If we determine that you have used Spam to obtain Refer=
rals
not only may we terminate your membership and void all amounts due to you=
if
we have reason to believe that you have used unsolicited email to gain
referrals, but we may also change the referral structure so that no one w=
ho
directly or indirectly referred you receives any benefit from your direct=
or
indirect referrals. In addition, you may be subject to state and federal
penalties and other legal consequences under applicable laws if you send
unsolicited email. |
|
| 6.9
You agree not to make any misrepresentations to anyone with respect to
compensation typically received by CustomFlix members or with respect to
compensation that potential members are likely to receive. You also agree=
not
to misrepresent the nature of the services we offer or the fees charged f=
or
these services. Further, you agree to comply fully with all applicable la=
ws
related to multi-level marketing programs. |
|
| 6.10
Subject to the terms and conditions of this Agreement, pursuant to this
section, we grant you a limited, non-exclusive, non-transferable, personal
license to use our trademarks and trade name solely for the purpose of
seeking legitimate referrals. All use of our trademarks and trade names s=
hall

| 7.
Payment |
|
| 7.1
The prices, charges and fees for our services are published on our websit=
e.
These prices, charges and fees are subject to change without notice. By u=
sing
the CustomFlix Service you agree to our prices, charges, and other fees.<=

| 7.2
On an ongoing basis, we will make available records of your account activ=
ity
on our website. You may view your account to see the status of your Title=
s,
the number of sales made in a given month, referral credits earned, and t=
he
balance due to you. |

| 7.3
At the end of each month, we will mail you a check or directly deposit fu=
nds
to a US bank account of your choosing for your sales made in the previous
month. To this amount we will add any referral credits earned in the prev=
ious
month, and subtract any returns, applicable fees and/or charges that were
made in the previous month. For example, we will send you a check at the =
end
of April for the sales made in March less any returns and/or charges
applicable for March. We may take up to seven days from the end of the mo=
nth
to mail your payment check. |

| 7.4
If the balance we owe you is less than $10.00, we will hold your payment
until your balance becomes at least $10.00. We will pay you within seven =
days
of the end of any month during which your balance exceeds $10.00. For
example, if you made $5 in June, we would not send you a check in July. If
you subsequently made $20 in July, bringing your balance to $25, we would
send you a check for $25 within seven days of the end of August, provided
that no returns, charges and/or fees applicable for June or July reduced =
your
balance to less than $10 as of the end of July. Accrued amounts less than
$10.00 will not be held for more than 180 days from the time the first sa=
le
was made. Any and all accrued amounts over 180 days old will be forfeited=
by
you. If this Agreement is terminated prior to at least $10.00 being accru=
ed
in total credits, the entire amount accrued will be forfeited by you. |

| 7.5
All payments made to you will be good for 180 days from the date on the
check. If payment is not cashed or deposited within the 180 day time peri=
od
you forfeit the entire amount and the check becomes null and void. |

| 7.6
You agree to pay all fees related to your account in a timely manner via =
the
credit card you use to set up your account with us. To become a Member, y=
ou
must give us a valid credit card number which you are authorized to use. =
You
agree that we have your permission to charge this credit card for your Ti=
tle
setup fees and any future charges and fees related to your account. We wi=
ll
automatically bill this card for fees as they become due. You must keep t=
his
credit card information updated, and must provide us with a new valid acc=
ount
number if your old card is deactivated or does not have sufficient credit
available to pay your fees. We have the right, but not the obligation, to
offset any fees you owe us against any amounts we owe you. We reserve the
right to place your Titles and account on hold, and possibly terminate th=
is
Agreement, if you are overdue in paying us any amounts. |

| 7.7
If you use one of our services that has a recurring fee, you agree that we
may continue to charge these fees to your credit card or offset them agai=
nst
amounts we owe you until you discontinue using such service. We will not =
owe
you a refund if you discontinue using the service prior to the end of the
period for which you have paid. |
|
| 7.8
If you disagree with a fee we have charged to your card, you agree to dis=
cuss
the issue with us and work towards a resolution. You expressly agree to n=
ot
dispute this fee with your issuing credit card company until you have
discussed this issue with us, which could result in a "charge
back". |
|
| 7.9
You agree to assist us in a timely manner in filing out and submitting all
applicable tax and other required paperwork related to your use of the
CustomFlix Service. |
|
| 7.10
If you materially breach any of the terms of this Agreement, any and all
amounts we may owe to you at the time shall be forfeited and our obligati=
on
to pay you any such amounts shall cease. |
|
| 8.
Privacy |
|
| 8.1 This Agreement incorporates the current Pr=
ivacy
Policy as published on the CustomFlix website. Please refer to that policy
for information regarding our privacy policies. |
|
| 8.2
As part of your monthly sales reports, we will send you the contact
information of Customers who have bought your Titles. You agree to use th=
is
Customer information for your own business purposes only. Your further ag=
ree
not to sell, rent, or transfer any customer information that we provide to
you to any third party except as required to support the normal operation=
s of
your business. Inappropriate use or abuse of customer information that we
have sent to you is grounds for termination of this Agreement. |

| 8.3
Your E-Store is not private. We do not control who may access your E-Store
nor who may order your Titles. Though we may allow you to password protec=
t an
E-Store, we have no obligation to verify that people visiting the protect=
ed
E-Store are authorized to do so. |
|
| 9.
Availability |
|
| 9.1
We do not warrant the availability of the CustomFlix Service or that the
CustomFlix Service will operate uninterrupted or error-free. This service=
may
be suspended from time-to-time for scheduled maintenance, for unscheduled
down-time, or for any other reason without notice. While we take reasonab=
le
precautions to prevent problems, we are not responsible for any deletion,
alteration or loss of data due to network or system outages, file corrupt=
ion,
accidental deletion or any other reasons. We make no guarantees as to ser=
ver
reliability, performance, speed or consistency, and cannot be held liable=
for
such. You understand that the CustomFlix Service is available on an
"as-provided" basis. |

| 9.2
You agree to use our services and infrastructure at your own risk. The
CustomFlix Service is provided on an "as is" basis without
warranties or guarantees of any kind, either expressed or implied. We mak=
e no
warranty with respect to any Content, information, services or products
provided through or in conjunction with the CustomFlix service. |

| 9.3
We make no guarantee of the accuracy, correctness or completeness of any
information on our website and are not responsible for any errors, omissi=
ons
or delays arising from the use of such information. We may link to or inc=
lude
on our website resources and information provided by third parties. We do=
not
guarantee or make any representations or warranties regarding the accurac=
y or
completeness of any such information, nor does the inclusion of this
information on our site imply that we recommend or endorse these third
parties. |

Termination |

| 10.1
You may terminate this Agreement immediately for any reason at any time. =
We
may terminate this Agreement immediately if you have violated any conditi=
ons
or terms of this Agreement. |

| 10.2
Upon termination, all licenses granted in this Agreement shall terminate,=
and
you must immediately cease all use of our trademarks, tradenames, and oth=
er
material as provided in this Agreement. You will not earn any referral
credits after termination, and all your Titles will be placed on hold. You
must remove all links from your website to your E-Store, and stop promoti=
ng
your E-Store. After termination, you may not represent that you are a Mem=
ber
of the CustomFlix Publishing Program. Termination of this Agreement shall=
not
prejudice and shall be in addition to any other right or remedy of either
party accrued on account of any default or breach of the other. |

| 10.3
If we terminate the Agreement, we will notify you of this fact via either=
an
email or a postal letter. If you have not supplied us with valid and curr=
ent
contact information, we have no obligation to notify you of our terminati=
on.
Upon our termination, we will immediately place all your Titles on hold a=
nd
not accept any further orders for your Titles. |

| 10.4 If you wish to terminate this Agreement, you must place all =
your
Titles on hold and then immediately send an email to service@CustomFlix.c=
om
notifying us of your termination. |
|
| 10.5
Within 60 days of termination of this Agreement, we will pay you any
outstanding balance due to you less amounts for any returns, charges or f=
ees
incurred by you, provided it is at least $10.00. If it is less than $10.0=
0,
you forfeit this amount. Per item 6.8, we do not owe you for any unused
portion of fees paid for services. |

AVAILABLE" BASIS WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND, EITHER
EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU HE=
REBY
ACKNOWLEDGE THAT USE OF THE CUSTOMFLIX SERVICE IS AT YOUR SOLE RISK. |

Each party represents and warrants to the other party as follows: |

We reserve the right to refuse any submission of a Member in our sole
discretion. |

You agree to provide us with accurate, complete, and updated registration
information. Failure to do so shall constitute a breach of this Agreement,
which may result in immediate termination. |

| 13.
Limitation of Liability |
|
| 13.1
NEITHER WE NOR ANY OF OUR AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFIC=
ERS,
DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES SHALL BE LIABLE FOR ANY
DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OU=
T OF
OR RELATING TO THIS AGREEMENT OR USE OF THE CUSTOMFLIX SERVICE, OR RESULT=
ING
FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR THE COST OF
PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS =
OR
SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTER=
ED
INTO THROUGH THE CUSTOMFLIX SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS=
TO
OR ALTERATION OF YOUR TRANSMISSION OF DATA, INCLUDING BUT NOT LIMITED TO,
DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLES. EVEN IF WE OR
ANY SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS
LIMITATION OF LIABILITY SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE
ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. |

| 13.2
We are not responsible for materials you send us until we receive them. We
are not responsible for damage that occurs to your materials in transit to
us. We strongly recommend that you always make copies of your materials a=
nd
ship only copies, never original versions, to us via an insured and trace=
able
method. |

| 13.3
If we lose or destroy materials once we have received them from you, we w=
ill
replace the blank media upon which the materials were recorded or pay you=
the
fair market price of the blank media. This is your sole and exclusive rem=
edy
for such loss. Under no circumstances will we be liable for any additional
costs related to the destruction or loss of your materials. |

Independent Investigation |
|
| 14.1
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TE=
RMS
AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR
INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE
CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR
COMPETE WITH ANY OF YOUR WEB SITES OR THOSE OF ANY OTHER MEMBER. YOU HAVE
INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE CUSTOMFL=
IX
MEMBER PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR
STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. |

| 15.
Miscellaneous |
|
| 15.1
This Agreement has been made in, and shall be construed and enforced in
accordance with the internal substantive laws of California, without rega=
rd
to conflict of law or choice of law principles. Any action to enforce this
Agreement shall be brought in the federal or state courts located in Santa
Clara County, California. |

| 15.2
All official correspondence regarding this Agreement shall be sent to
CustomFlix Labs, Inc., 140 DuBois Street, Suite A, Santa Cruz, CA 95060.<=

| 15.3
All prices and terms are subject to change. The current terms of this
Agreement and prices can be publicly accessed on the CustomFlix Labs, Inc.
website. |

We may assign our rights and obligations under this Agreement to another
party without any written notice to you or approval from you. |

Neither party will be deemed in breach of this Agreement to the extent th=
at
performance of its obligations are delayed or prevented by reasons of for=
ce
majeure, such as riots, fire, flood, earthquake, acts of government and t=
he
like, provided that such party gives the other party written notice there=
of
promptly and uses its best efforts to continue to perform its obligations=

If for any reason a court of competent jurisdiction finds any provision of
this Agreement, or portion thereof, to be unenforceable, that provision of
the Agreement shall be adjusted to the minimum extent required for
enforceability, and the remainder of this Agreement shall continue in full

No waiver of any breach of any provision of this Agreement shall constitu=

waiver of any prior, concurrent or subsequent breach of the same or any o=

provisions hereof, and no waiver shall be effective unless made in writing

In any action to enforce the provisions of this Agreement, the prevailing
party shall be awarded all arbitration and/or court costs and any reasona=

This Agreement constitutes the entire agreement between the parties with
respect to this subject matter, and supersedes all prior or contemporaneo=
